In one of the most prominent financial restructuring proceedings to hit Maryland’s adult-use cannabis market, a court-appointed receiver has officially launched a structured sale process for the in-state assets and operating licenses of PharmaCann, one of the nation’s largest multi-state operators.
Opus Consulting Partners, LLC, acting through firm president Jacques Santucci, was designated as receiver for PharmaCann Maryland following a legal petition brought by Argent Institutional Trust Company. The receivership proceeding, filed in the Montgomery County Circuit Court (Argent Institutional Trust Company v. PharmaCann of MD, LLC, et al., Case No. C-15-CV-26-001937), places the MSO’s local footprint under independent fiduciary management while a court-approved auction process unfolds.
Unloading a Vertically Integrated Footprint
PharmaCann has maintained a major presence in Maryland since the earliest days of the state’s medical cannabis framework. Its local portfolio encompasses a full vertical stack: an active cultivation and processing facility alongside three operational retail dispensaries doing business under the Verilife brand.
Under the court-approved receivership structure, day-to-day business across the dispensaries and production site continues in the ordinary course. However, the appointment marks a formal pivot toward liquidation and asset transfer. Opus Consulting, represented by receivership counsel Joshua Horn of Fox Rothschild LLP, obtained formal approval for bidding procedures on September 4, setting the stage for a competitive acquisition process.
The sale offers prospective buyers—ranging from strategic multi-state operators to regional cannabis firms—an opportunity to acquire select state licenses issued by the Maryland Cannabis Administration (MCA), alongside physical equipment, real estate leases, inventory, intellectual property, and existing consumer relationships.
Regulatory Approvals and Sale Timeline
Because any transaction involves state-issued commercial cannabis licenses, any final asset sale remains subject to dual confirmation: approval from the Montgomery County Circuit Court and regulatory authorization from the Maryland Cannabis Administration.
Under the bidding schedule established by the receiver:
- Bid Submission Deadline: Interested buyers must submit qualified bids to the receiver by 4:00 p.m. ET on September 21, 2026.
- Auction Trigger: If two or more qualified proposals are received, the process will advance to a competitive auction to determine the highest and best offer.
- Access Requirements: Bidders must execute a formal non-disclosure agreement prior to gaining entry to the receiver’s virtual data room.
The receivership action reflects ongoing financial calibration across the cannabis industry, where debt obligations and shifting capital markets have increasingly led major operators to restructure assets through state-level receivership proceedings rather than federal bankruptcy courts, which remain unavailable due to federal cannabis prohibition.
